CBGenius Affiliate Agreement

1. Term of the Agreement: This agreement is effective upon acceptance (registration and validation) of your Affiliate application. It ends when terminated by either party. Either party may terminate the Agreement at any time, for any reason, with or without cause, by sending the other party written notice. Only referrals made during the active period will be eligible for payoff.
2. Modification: We [CBGenius] reserve the right to modify any terms detailed in this Agreement, at any time, for any reason, and at our sole discretion, by posting a new agreement on this site. Modifications can include changes in payment terms, commissions, referral terms, and program functionality. If you find any changes made to be unacceptable, your only recourse is to terminate the Agreement by written notice.
3. Limitation of Liability: Any damages or loss, incurred either directly or indirectly, as a consequence of your actions in association with this Agreement of Affiliate Program, are not our responsibility, even if we have been advised of the possibility of such loss. This includes but is not limited to loss of revenue, profit, and data. Furthermore, no such damages shall be incurred by either party onto the either party.
4. Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Colorado. Any legal action brought to in association with this contract shall be brought to the federal or state courts located in Colorado. This agreement is confidential and may not be distributed. BY SIGNING UP FOR OUR AFFILIATE PROGRAM YOU ACKNOWLEDGE THAT YOU HAVE NOT ONLY READ AND AGREED TO THIS AGREEMENT, BUT THAT YOU ARE IN THE LEGAL CAPACITY TO AGREE.
